Terms of Service & EULA

Welcome to Backline NYC ("Backline," "we," "us," or "our"), operated by Khadija Aslam. These Terms of Service and End User License Agreement ("Terms") govern your access to and use of the Backline NYC mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms.

01 · Eligibility

You must be at least 18 years old to use Backline NYC.

By using the Service, you represent and warrant that:

• You are at least 18 years old
• You can form a legally binding agreement
• Your use of the Service complies with applicable laws and regulations

02 · Service Description

Backline NYC is a platform that helps users connect, network, post opportunities, list services, share creative work, and communicate within the music and creative community.

We may modify, suspend, or discontinue portions of the Service at any time without liability.

03 · Accounts

You agree to:

• Provide accurate and current information
• Maintain the security of your login credentials
• Promptly update account information if it changes
• Accept responsibility for all activity under your account

You may not transfer or share your account with another person.

04 · End User License Agreement (EULA)

Subject to your compliance with these Terms, Backline NYC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the application for your personal, non-commercial use.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or attempt to extract source code except where prohibited by law
• Use the Service for unlawful purposes
• Circumvent security features or access restrictions
• Use automated systems to scrape, crawl, or harvest platform data

This license terminates automatically if you violate these Terms.

All rights not expressly granted are reserved by Backline NYC and its licensors.

05 · Apple App Store Terms

If you downloaded the app from the Apple App Store:

• This Agreement is between you and Backline NYC, not Apple
• Apple is not responsible for the Service or its content
• Apple has no obligation to provide maintenance or support services
• Apple is not responsible for addressing claims relating to the app, including product liability or legal compliance claims
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you

You must comply with applicable App Store terms when using the app.

06 · User Content

You may upload text, photos, listings, profile content, messages, links, and other materials ("User Content").

You retain ownership of your User Content. However, by posting User Content, you grant Backline NYC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and use that content solely for operating, improving, and promoting the Service.

You represent and warrant that:

• You own or have rights to your content
• Your content does not infringe third-party rights
• Your content complies with applicable laws

07 · Prohibited Conduct

You agree not to:

• Harass, threaten, or abuse others
• Impersonate another person or entity
• Commit fraud or scams
• Send spam or unsolicited promotions
• Upload infringing or illegal material
• Distribute malware or harmful code
• Scrape or collect user data without authorization
• Interfere with the operation or security of the Service
• Use the Service in violation of law

We may investigate and take action regarding violations.

08 · User Interactions

Backline NYC does not verify users or guarantee the accuracy of listings, profiles, or communications.

You are solely responsible for your interactions and agreements with other users. Exercise caution and good judgment when meeting or collaborating with others.

09 · Listings and Services

We do not guarantee gigs, bookings, collaborations, employment, sales, audience growth, or outcomes of any kind.

Any transactions or arrangements made between users are solely between those users.

10 · Moderation and Enforcement

We reserve the right to review, remove, restrict, suspend, or terminate accounts or content at our sole discretion, with or without notice.

We are not obligated to monitor all content or communications.

11 · Intellectual Property

The Service, including its branding, software, design, features, and content excluding User Content, is owned by Backline NYC and protected by intellectual property laws.

You may not use our trademarks, branding, or proprietary materials without written permission.

12 · Copyright Complaints

If you believe content on the Service infringes your copyright, contact:

13 · Third-Party Services

The Service may link to third-party platforms including social media, music, ticketing, or streaming services.

We are not responsible for third-party content, products, policies, or practices.

Your use of third-party services is governed by their terms.

14 · Privacy

Your use of the Service is also governed by the Backline NYC Privacy Policy.

15 · Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKLINE NYC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

We do not guarantee uninterrupted, secure, or error-free operation.

16 · Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKLINE NYC AND ITS OPERATORS SHALL NOT BE LIABLE FOR:

• Indirect damages
• Incidental damages
• Special damages
• Consequential damages
• Exemplary damages
• Punitive damages

INCLUDING LOST PROFITS, LOST DATA, OR PERSONAL INJURY ARISING FROM USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD.

17 · Indemnification

You agree to indemnify and hold harmless Backline NYC and its operators from claims, damages, liabilities, and expenses arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms

18 · Arbitration Agreement

Disputes relating to the Service shall be resolved through binding individual arbitration in New York, New York, except where small claims court applies.

You waive any right to participate in class actions or class arbitration.

19 · Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

20 · Termination

You may stop using the Service at any time.

We may suspend or terminate your access immediately if you violate these Terms or if we believe your use poses risk to users, the platform, or the public.

Sections intended to survive termination will remain in effect.

21 · Changes to Terms

We may update these Terms periodically. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
